EMPLOYMENT AGREEMENT Between Paint Products, Inc. of United States of America ​(Employer) And Dr. Karlis Kimiki ​(Employee) This Employment Agreement (hereafter mentioned as Agreement) is hereby executed on 17 September, 2020. Background 1. It is of the belief that the Employee is competent for the required services and possesses the skill, qualification and abilities to contribute to the aims of the Employer’s business. 2. Both the parties accept the terms and conditions put forth in this Agreement. WHEREAS the Employer seeks to obtain the benefit of the services of the Employee, and the Employee agrees to render the services mentioned under the terms conditions mentioned henceforth. IN CONSIDERATION of the mutual benefits and promises specified in this Agreement, the sufficiency of which consideration is acknowledged, both the parties to this Agreement agrees to the followings: TERMS Commencement Date 3. The Employee will commence full-time employment with Paint Products, Inc. (Employer) from 18 September, 2020. Position and Duties 4. The Employer agrees to employ the Employee as the “Lab Chemist” and the Employee agrees to the conditions and duties mentioned. 5. The Employee should carry out any and all legitimate and lawful duties assigned by the Employer. 6. The primary duty of the Employee is to devote his best efforts to developing the new paint that can protect metal from rusting. The duty includes but is not limited to this specific task. 7. The Employee is to work at the Employer's laboratory located in the city of Riga, Latvia and the Employer will have all the rights over any product manufactured by the Employee during the course of employment. 8. The Employee agrees to the principles and policies of the business. Inclusive of but not limited to issues as sick leave, work leave, and vacation. Furthermore, these policies may change from time and time and the Employee will be notified of any change beforehand. Inability To Contract any Competitor 9. The Employee will not be allowed to contract any other business during the course of employment with the Employer’s business. 10. If the Employee leaves the company’s employment for any reason, he will be precluded from working for any competitor business for the span of 5 years Employee Compensation 11. The Employee will be salaried the first year at 50,000 lats. 12. The additional work bonus will be awarded with the discretion of the Employer. The Employee will hold no right over the bonus or any other additional compensation. Vacation 13. The Employee shall be entitled to vacation in the amount of 3 weeks per annum. The three week leave shall not be continuous. Benefits 14. The Employee will have rights over medical expenses of 20,000 lats per annum during the course of employment. Probation Period 15. The Employee agrees to the fact that the first 60 days of the employment is termed as the probation period during which the Employer can terminate the contract without any notice.
