Urich International Contract Assignment You will meet with two other students and reach an agreement regarding the sale of goods between companies in two different countries. In one case you will be the buyer, and the other you will be the seller. You must draft a contract for the agreement where you are the buyer. This assignment is worth 50 points. This assignment is due on February 16, 2005. Format: Be sure that the buyer’s name is clearly identifiable at the top of the contract. Label the sections in your contract as follows: Mutual Agreement, Buyers Duties, and Seller’s duties. Mutual agreement: Identify the parties to the agreement. What did they agree to? What are the particulars to their deal? Product, price, delivery date, size, class, grade, etc. Choice of Law – Whose law applies? Dispute resolution – how will disputes be handled? Currency used? Mode of shipment (must be by ocean going vessel – name two ports that make geographical sense in your case.) Identify Banks HIGHLIGHT INCOTERM (with highlighter pen or bold type) *Other terms of sale (clever things you can find in chapter 4) *Force Majeure clause *Warranties (are there any warranties? See chapter 4) Buyer’s Duties What is it that the seller insists that the buyer must do? In other words, what should the seller require from the buyer? Seller’s Duties Given that we are using a documentary sale, what does the buyer require of the seller before he/she is willing to let the money be released? Possible items to consider: HIGHLIGHT INCOTERM again Bill of lading (what kind?) Certificate of origin Certificate of insurance? Who pays for shipping? Commercial invoice Documentary draft Certificate of inspection or analysis (what makes sense for your product?)
