It aims in providing delicious, quality, affordable and healthy meal to customer. Other than that the application will constantly update their customer to the latest up to date news and information related to health. The user may also use the application to get information related to illness which they might or might not suffer with. Through this it will raise user awareness to the significance of health. Our system also provides healthy meal plan services. Where user can choose particular meal plan which is suitable for them and we will prepare freshly and deliver to their door step. The user may also subscribe to weekly meal plan where we will prepare their weekly lunch and dinner and deliver to them. With the weekly subscription the user will enjoy much cheaper price than order day by day. The HealthAgent system also consists of a live chat system where by the user can use these function to consult to a dietitian where they can get professional guiding and recommendation to their healthy diet or lifestyle. B. Industry background The level of health was getting worst each year in Malaysia and most of the death was caused by illness. The user may also learn how to cure or prevent sickness from simple nutrition intake and appropriate lifestyle. Other than that this system also has a communication platform for user to communicate with our associated dietitian. Competition Dietliciouss: is a healthy food provider located at Wangsa Walk Mall,Wangsa Maju, Kuala Lumpur. They were founded in 2014. Their mission is to provide affordable and nutritious meal to their customer. They have lunch delivery and custom make frozen food. First their customer selects the meal plan that is suitable for them then they will prepare the meal and deliver to customer door step. Their delivery services are only available in Kuala Lumpur. The Naked Lunchbox: it is founded by Cheryl and Christina in 2014. Their aim was to provide quality healthy meal with affordable cost. They are located at Petaling Jaya, Selangor, 47301, Malaysia. As their promise to provide high quality and healthy meal they will not use sugar or artificial sweetener, food additive, MSG, Gluten and dairies product in the preparation of the meal. They also have meal plan for the vegetarian. 4. Estimated Market Share Health and food service is a new type of market where by not many dominant company. We are looking for 30% market share in Malacca in our second year of launching. During the first year we will do aggressive publication and promotion in our meal plan to archive our estimate market share in the second year and hope for a gain of 5-10% in the third year. 12 Section IV: Research, Design, and Development A. Details 1. Prototype: 15 Technology Used: Mobile data is preferred as users will be able to search for their meal plan, health information, to support live chat system, carry out online payment, consult dietitian. The second technology is the Global Positioning System (GPS) which is a satellite-based navigation system which user may use to locate their location. Third, we use live chat system to enable user to communicate, give feedback and consult with our dietitian. Fourth, we use online banking system to allow user to make payment for their order, weekly meal plan subscription. 16 2. Lab test / special testing Alpha testing and beta testing are both carry out after development phase of mobile application in order to reduce the bugs and error of the system. Alpha test will be conducted by family members and friends of development team while beta test will be conducted by public. 3. Cost and Time The cost of development is low to none as it is developed by in-house software development team. Employee to Devote Full Time to Company. The Employee will devote full time, attention, and energies to the business of the Company, and, during this employment, will not engage in any other business activity, regardless of whether such activity is pursued for profit, gain, or other pecuniary advantage. Employee is not prohibited from making personal investments in any other businesses provided those investments do not require active involvement in the operation of said companies. 6. Confidentiality of Proprietary Information. Employee agrees, during or after the term of this employment, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed, the right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the Employee. 7. Reimbursement of Expenses. The Employee may incur reasonable expenses for furthering the Company's business, including expenses for entertainment, travel, and similar items. The Company shall reimburse Employee for all business expenses after the Employee presents an itemized account of expenditures, pursuant to Company policy. 8. Vacation. The Employee shall be entitled to a yearly vacation of weeks at full pay. 9. Disability. In the event that the Employee cannot perform the duties because of illness or incapacity for a period of more than weeks, the compensation otherwise due during said illness or 25 incapacity will be reduced by percent. The Employee's full compensation will be reinstated upon return to work. However, if the Employee is absent from work for any reason for a continuous period of over months, the Company may terminate the Employee's employment, and the Company's obligations under this agreement will cease on that date. 10. Termination of Agreement. Without cause, the Company may terminate this agreement at any time upon____ days' written notice to the Employee. If the Company requests, the Employee will continue to perform his/her duties and may be paid his/her regular salary up to the date of termination. In addition, [select desired option:]____ the Employee shall not receive severance allowance, OR____ the Company shall pay the Employee on the date of the termination a severance allowance of Ss. less taxes and social security required to be withheld. Notwithstanding anything to the contrary contained in this agreement, the Company may terminate the Employee's employment upon days' notice to the Employee should any of the following events occur: (a) The sale of substantially all of the Company's assets to a single purchaser or group of associated purchasers; or (b) The sale, exchange, or other disposition, in one transaction of the majority of the Company's outstanding corporate shares; or (c) The Company's decision to terminate its business and liquidate its assets; or 26 (d) The merger or consolidation of the Company with another company; or (e) Bankruptcy or chapter 11 reorganization. 11. Death Benefit. Should Employee die during the term of employment, the Company shall pay to Employee's estate any compensation due through the end of the month in which death occurred. 12. Restriction on Post Employment Compensation. For a period of years after the end of employment, the Employee shall not control, consult to or be employed by any business similar to that conducted by the company, either by soliciting any of its accounts or by operating within Employer's general trading area. 13. Assistance in Litigation. Employee shall upon reasonable notice, furnish such information and proper assistance to the Company as it may reasonably require in connection with any litigation in which it is, or may become, a party either during or after employment. 14. Effect of Prior Agreements. This Agreement supersedes any prior agreement between the Company or any predecessor of the Company and the Employee, except that this agreement shall not affect or operate to reduce any benefit or compensation inuring to the Employee of a kind elsewhere provided and not expressly provided in this agreement. 15. Settlement by Arbitration. Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the American 27 This Agreement acknowledges that certain confidential information, trade secrets, and proprietary data (hereinafter defined and referred to as “Confidential Information”) of or regarding the Company may be discussed between Employee and the Company (hereinafter known collectively as the “Parties”). The provisions set forth in this Agreement define the circumstances in which the Employee can and cannot disclose Confidential Information, and include the remedies, penalties and lawful action the Company may take should such information be used or disclosed by Employee. Both Parties agree that it is in their best interests to protect the Company’s Confidential Information, and that the terms of this Agreement create a bond of trust and confidentiality between them. In consideration of Employee’s commencement of employment, or continued employment with the Company, the Parties agree as follows: Article II: Confidential Information A. Definitions. Confidential Information is any material, knowledge, information and data (verbal, electronic, written or any other form) concerning the Company or its businesses not generally known to the public consisting of, but not limited to, inventions, discoveries, plans, concepts, designs, blueprints, drawings, models, devices, equipment, apparatus, products, prototypes, formulae, algorithms, techniques, research projects, computer programs, software, firmware, hardware, business, development and marketing plans, merchandising systems, financial and pricing data, information concerning investors, customers, suppliers, consultants and employees, and any other concepts, ideas or information involving or related to the business which, if misused or disclosed, could adversely affect the Company’s business. B. Exclusions. For the purposes of this Agreement, information shall not be deemed Confidential Information and the Employee shall have no obligation to keep it confidential if: 30 (i) the information was publicly known; (ii) the information was received from a third party not subject to the restrictions of this Agreement and becomes available to Employee through no wrongful act or breach of Agreement on their part; or (iii) the information was approved for release by Employer through written authorization. C. Period of Confidentiality. (Check One) O - Employee agrees not to use or disclose Confidential Information for their own personal benefit or the benefit of any other person, corporation or entity other than the Company for a period of O - Employee agrees not to use or disclose Confidential Information for their own personal benefit or the benefit of any other person, corporation or entity other than the Company during the Employee’s employment with the company or any time thereafter. D. Limitations. Employee shall limit access to Confidential Information to individuals on a strictly need-to-know basis, involving only those who are carrying out duties related to the Company and its business. Individuals under the Employee’s command (affiliates, agents, consultants, representatives and other employees) are bound by and shall comply with the terms of this Agreement. E. Ownership. All repositories of information containing or in any way relating to Confidential Information is considered property of the Employer. The removal of Confidential Information from the Company’s premises is prohibited unless prior written consent is provided by the Company. All such items made, compiled or used by the Employee shall be delivered to the 31 Employer by Employee upon termination of employment or at any other time as per the Employer’s request. Article III: Inventions A. Prior inventions. Any inventions created or conceptualized by the Employee prior to signing the Agreement are excluded from the provisions herein. B. Ownership of Inventions. Inventions constructed while under the Company’s employment are the sole property of the Company except those described under subsection (C.) of this section. C. Personal Inventions. Inventions developed by Employee on their own personal time not constructed on Company property, and that were not created using any Company materials, equipment, technology or information, are exempt from the provisions of the Agreement. Article IV: Entire Agreement A. Previous Agreements. This Agreement constitutes the entire agreement and the signing thereof by both Parties nullifies any and all previous agreements made between Employer and Employee. B. Modifications and Amendments. No modifications, amendments, changes or alterations can be made to the Agreement unless in writing and signed by authorized representatives of both Parties. C. Successors and Assigns. This Agreement shall be binding upon the successors, subsidiaries, assigns and corporations controlling or controlled by the Parties. The Company may assign this 32 In a dispute arising out of or in relation to this Agreement, the prevailing party shall have the right to collect from the other party its reasonable attorney fees, costs and necessary expenditures. Potential Problems, Obstacles and Risk and Alternative courses of action 1. Competitor-GrabFood, FoodPanda There are a lots of competitor in food order and delivery apps market such as GrabFood and Food Panda. Those are the big company in Malaysia, they have huge financial and operation tesource, we can’t fight with them with promote cheapest price to customers or free gift, we only can use the other way to fight with them. Our main business idea is to promote the healthy meals to those users who are healthy person and would like to have a healthy life style. To prepare a healthy meals will cost them a lots of time, but they can have it with our apps with some simply click then we will provide the service and the healthy meals delivered to them. 2. Quality control of foods We need to make sure that the quality of the food that we provide are fresh. In fact, that food delivered in a box cannot compare with the food served straight from kitchen, they are prone to quality lapses such as the get cold, sticky, moist. Therefore, we must timely delivery to our customers before the quality of foods become not fresh. Besides that, we will make sure that the restaurant are using fresh ingredients to make the foods for our customer, we provide the good quality of food service to customers and they will also keep using our apps to order the foods. Our main menu are provides healthy meal to our customers so our food must be fresh and delicious. 40 3. Area and Time management From the confirm order until the foods delivered to customer, we need to make sure that as fast as possible the customers received our services. We need to control our time management from receive order, food preparation, packaging and delivery. Customer always expect timely delivery, if we cannot control our time management and delivered the food to our customers timely, it will make them lose trust in our service. Therefore, in the beginning of our business only focus on some certain area to make sure that the customer will timely delivered. This is because we need to make sure the quality of foods are good when delivered to our customers. 4. Loyalty of customer In the age of e-commerce, there are a lots of choices for customer to choose and decide the best service. The customer know how to compare the product service, quality and the pricing with each other. A company who provide the best quality of service and the cheapest pricing will attract the customer to continue using their services. For example, provides the better deals, incentives, free gifts and some promo code to attract their customers. For the new register users, we will provide them 50% discount for first 5 rides of food order to attract the customers using our platform. For those customers who using our platform to order foods more than 15 times in 1 month, we will give them some rebate to maintain customer’s loyalty. Besides, customer always seek for cheapest and good service, if our service charge too expensive or quality of service not good, they will not continue using our service. Therefore, we will hire the good license dietitian to provide the correct health information to our subscriber, make sure that our health information and diet meal will effective for them. If our health information or diet meal is suitable for them, the customers will stay loyalty to our services. 41 5. Competitor-Herbalife Herbalife is a global nutrition company that has helped people pursue a healthy, it has many of weight-management and personal care products are available to their members. Herbalife is one of our competitor which we are same focus on health aspect. The main function of our apps is provide health information and diet meal, it similar with Herbalife which provide healthy products. However, they only provide the healthy drink. The different between our software with Herbalife is, we provide diet meal plan for our subscriber and delivered to them. That mean our subscriber can enjoy their diet meal in their home without going out. Besides that, our subscriber can consult with license dietitian through our software to get their specialized diet meal. We also provide health solution to a particular illness, and suggest the diet meal plan for them. Herbalife only provide the healthy product for their members but with our software, we provide health information, health solution to particular illness, diet meal and delivery service. 6. Pricing concern When the people heard about healthy, normally they will think about expensive, high price, costly then said no. We need to let them know our service is worth with the money of they paid. We provide the good quality of service and diet meal for them, make them stay healthy and live longer. We are also provide the health solution to particular illness and prepare the meal that suitable for them.
